Tensor Archive Games End User License Agreement
This End User License Agreement (the “EULA”) is a binding agreement between you and ExcursionPass Inc., the Delaware corporation that operates Tensor Archive Games (“ExcursionPass,” “Tensor Archive Games,” “we,” “us,” or “our”). It governs your download, installation and use of Tensor Archive Games, its components, documentation, updates and proprietary Tensor-to-Tensor Transport technology.
THE SOFTWARE IS LICENSED, NOT SOLD. BY SELECTING A “FREE DOWNLOAD” BUTTON, DOWNLOADING, INSTALLING OR USING THE SOFTWARE, YOU ACCEPT THIS EULA AND THE TENSOR ARCHIVE GAMES TERMS OF SERVICE, INCLUDING THE REQUIRED 100 MiB NETWORK RESERVE CONDITION. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE.
1. Definitions
- “Commercial Lifetime” means the period during which ExcursionPass or its successor continues to operate and make Tensor Archive Games commercially available as a product.
- “Free License” means the no-recurring-fee license granted in Section 3.
- “Network Reserve” means the single shared T2T disk-space budget described in Section 4, capped at 100 MiB (104,857,600 bytes) per operating-system user across participating Tensor Archive products.
- “Software” means Tensor Archive Games and each application, executable, local service, library, component, documentation, update or replacement supplied by ExcursionPass under this EULA.
- “T2T” means ExcursionPass’s proprietary Tensor-to-Tensor Transport protocol, software, architecture and associated infrastructure.
2. Ownership and Reservation of Rights
The Software and T2T are proprietary technology of ExcursionPass and its licensors. They retain all right, title and interest in the Software, every version and update, source and object code, algorithms, architectures, data structures, cryptographic materials, T2T protocol and infrastructure, documentation, designs, trademarks, trade secrets and associated intellectual-property rights.
This EULA grants only the limited rights expressly stated below. No right is granted by implication, estoppel, exhaustion or otherwise. Your games, mods, archives and other content remain yours or your licensors’; use of the Software does not transfer ownership of that content to ExcursionPass.
3. Free License Grant
Subject to this EULA, including Section 4, ExcursionPass grants you a limited, non-exclusive, non-transferable, non-sublicensable and terminable license during the Commercial Lifetime of the Software to install and execute an authorized copy of Tensor Archive Games and use the free features made available in that version for personal, lawful use.
The Free License is offered without a recurring software-license fee during the Commercial Lifetime. “Free forever” has the meaning stated in the Terms and does not guarantee perpetual operation of online services, T2T routes, third-party stores, supported games, platforms or integrations.
4. Mandatory Network Reserve Authorization
Your authorization of the Network Reserve is a material, non-severable and sine qua non condition of the Free License. You authorize the Software and the common Tensor Archive local runtime to manage one Network Reserve of no more than 100 MiB (104,857,600 bytes) per operating-system user across Tensor Archive AI, Tensor Archive Games and other participating Tensor Archive products. It is one shared total, not a separate allowance for each product.
The Network Reserve may temporarily retain eligible, verified T2T pieces for Tensor Archive network utility and product operation, including authorized routing, caching, staging, verification and serving. It is not preallocated and occupies storage only when eligible verified pieces are admitted. The current design permits up to 96 MiB of payload and keeps the remaining capacity for database, index, journal and filesystem overhead within the same physical ceiling.
The Network Reserve may be emptied or reclaimed under product controls, expiry, revocation or disk pressure. It does not authorize access to unrelated personal files, credentials, private game-library lists or content outside the applicable T2T policy. If you do not grant or later withdraw this authorization, the Free License is not available and you must stop using and uninstall the Software.
5. Permitted Use
You may use the Software to create supported local archives from game files lawfully available to you, verify those archives, restore exact files, and use supported update and network functions. You may create reasonable backup copies of the installer solely for your own permitted use.
The license is for the Software, not the games. It does not grant any ownership, redistribution or other right in game files, mods, publisher content, store credentials or third-party software.
6. Stores, Launchers, DRM and Anti-Cheat
You must maintain valid rights and entitlements for every game and mod processed by the Software. The applicable store or launcher remains the authority for ownership, entitlement, official updates, verification and execution.
You may not use the Software to bypass, disable or interfere with DRM, anti-cheat, license checks, store entitlement, publisher restrictions, launcher verification or platform security. Tensor Archive Games is not a game store and does not provide depot keys, game licenses or unauthorized content.
7. T2T License and Network Use
This EULA grants only the limited right to use T2T through an authorized, unmodified copy of the Software and only for functions exposed by that Software. Depending on the version and settings, T2T may locate authorized sources, retrieve verified data, cache or stage eligible pieces, make eligible verified pieces available as an authorized source, and calculate operational network measures.
T2T network access does not guarantee any source, game, route, speed, throughput, availability, update or service level. ExcursionPass may evolve or replace the network architecture and may block a source, destination, installation, credential, version or transfer where reasonably necessary for security, legal compliance, rights enforcement, integrity, capacity or network health.
8. Restrictions
You must not, and must not enable or assist anyone else to:
- copy, distribute, rent, lease, sell, sublicense or make the Software or T2T available except as expressly permitted;
- reverse engineer, decompile, disassemble, decode, derive, reconstruct or attempt to discover source code, protocols, cryptographic material, protected policies or non-public interfaces, except only to the limited extent applicable law expressly permits despite this restriction;
- modify, patch, emulate, wrap, translate or create derivative works of the Software or T2T;
- intercept, record, replay, simulate, forge or manipulate T2T communications, manifests, receipts, device identities, source records or authorization messages;
- bypass, disable or defeat a license, entitlement, integrity, update, contribution, security or access control;
- use the Software or T2T to distribute content without the necessary rights or to facilitate piracy; or
- remove or alter copyright, trademark, patent or proprietary notices.
9. Updates and Support
The Software may check for and install security, compatibility, network, restore, verification or product updates. Updates may add, change, replace or remove features where reasonably necessary for security, law, compatibility, product integrity, third-party changes or product development.
The Free License does not include a guaranteed support response time, future platform, specific integration or commitment to maintain compatibility with any particular game, launcher, operating system or device.
10. Your Content, Verification and Backups
You are responsible for the legality, licensing, provenance and security of content you process; for maintaining valid store entitlements; and for verifying restored files before relying on them. You must maintain independent backups appropriate to your risk.
No storage, compression, reconstruction or transfer system eliminates the possibility of data loss, corruption, incompatibility, hardware failure, filesystem behavior, security incident or user error.
11. Third-Party Components and Services
The Software may include third-party components governed by separate notices or licenses. Those licenses apply to the relevant components without expanding your rights in ExcursionPass proprietary technology. Third-party stores, launchers and services remain governed by their own terms.
12. Beta and Pre-Release Software
Software identified as alpha, beta, preview, evaluation, experimental or pre-release may be incomplete, change without notice, contain errors, lose compatibility or be withdrawn. Do not rely on pre-release Software as the only means of preserving valuable content.
13. Term and Termination
This EULA begins when you first accept it and continues until terminated. You may terminate it by ceasing use and uninstalling all copies. ExcursionPass may terminate or suspend rights for a material breach, piracy, deliberate circumvention, unauthorized distribution, security abuse or unlawful use.
Upon termination, you must stop using and delete the Software. Sections concerning ownership, restrictions, disclaimers, liability, remedies and disputes survive.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, T2T, UPDATES, PRE-RELEASE FEATURES AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. EXCURSIONPASS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND SECURITY.
EXCURSIONPASS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH FUTURE HARDWARE OR SOFTWARE, IMMUNE FROM DATA LOSS OR SECURITY INCIDENTS, OR THAT ANY ARCHIVE, RESTORE, GAME, UPDATE, SOURCE, TRANSFER, SPEED OR STORAGE RESULT WILL MEET YOUR REQUIREMENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCURSIONPASS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES; LOSS OR CORRUPTION OF DATA; LOSS OF GAMES, MODS, ARCHIVES, PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL OR USE; COST OF SUBSTITUTE SERVICES; OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY ARISING OUT OF THE SOFTWARE, T2T OR THIS EULA WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID EXCURSIONPASS FOR THE SPECIFIC TENSOR ARCHIVE GAMES SERVICE GIVING RISE TO THE CLAIM.
16. Governing Law, Changes and General Terms
This EULA is governed by Delaware law, without regard to conflict-of-laws rules. Before filing a claim, each party will provide a written description and allow 30 days for a good-faith attempt to resolve it. Except where applicable law requires otherwise, the state courts in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE OR REPRESENTATIVE ACTION.
ExcursionPass may update this EULA prospectively for later downloads, releases or online functionality. The posted version and effective date identify the applicable version. If a provision is unenforceable, the remainder remains effective. You may not assign this EULA without written consent; ExcursionPass may assign it with a transfer of the Tensor Archive business.
